Wialon Integration Terms

These Wialon Integration Terms (the “Terms”) govern any third-party integration with Wialon implemented through the Wialon API. By submitting an integration for listing on the Wialon Marketplace and/or checking ‘Agree’ (or a similar acceptance checkbox) to these Terms, or otherwise developing or operating a Solution, whichever occurs first, the Developer accepts and agrees to be bound by these Terms. If the Developer does not agree, it must not access the API or operate any Solution.
- Definitions

“API” means the Wialon application programming interfaces and the related technical documentation made publicly available at the Website.

“Developer”, “you”, “your” means any natural or legal person that develops, operates or maintains a Solution.

“Joint Work” has the meaning given in section 7.3.1.

“Marketplace” means the Wialon Marketplace at https://legal.gurtam.com/wialon/marketplace.

“Solution” means any software, service or solution developed by the Developer that connects to or interoperates with Wialon through the API.

“We”, “us”, “our” means Gurtam UAB, a company incorporated under the laws of Lithuania, with its office at Ozo str. 12A (5th floor), 08200, Vilnius, Lithuania; registered under company number 302506437.

“Website” means the Internet site https://legal.gurtam.com/api/user-guide, or such other site notified to the Developer by us.

“Wialon” means the software products and any related services owned by us (and our licensors), as further described at https://legal.gurtam.com/wialon.

“Wialon Contribution” has the meaning given in section 7.3.
- Use of the API

We grant the Developer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the API solely for the purpose of developing, operating and maintaining the Solution in accordance with these Terms and the API documentation.

The Developer must comply with the API documentation and any technical, security or operational requirements that we publish from time to time on the Website, including rate limits and quotas.

The Developer must not: (a) use the API in a manner that disrupts, damages, overloads or compromises Wialon, the API or any user’s data; (b) circumvent or attempt to circumvent any technical or security measure; (c) reverse engineer Wialon or the API, except to the extent expressly permitted by mandatory law; or (d) use the API to build a product or service that materially replicates or competes with Wialon.

We may at our discretion provide the Developer with a non-production Wialon account for development and testing of the Solution. We may suspend, restrict or terminate any such account at any time and without notice.

We reserve the right to limit the number of periodic API calls the Developer is allowed to make.
- Sole Responsibility of the Developer

The Developer is solely responsible for the design, development, implementation, deployment, security, operation, support and maintenance of the Solution.

We do not review, verify, test, certify or endorse the Solution, and we do not check whether it complies with any law, standard or specification. The Developer is solely responsible for ensuring that the Solution, and its use of the API, comply with all applicable laws and with the requirements of any end user of the Solution.

The Developer is solely responsible for all relationships with end users of the Solution, including any contracts, pricing, billing, support, complaints, refunds, warranties and liability. We are not a party to any such relationship.
- Marketplace Listing

At the Developer’s request and subject to our acceptance, we may list the Solution in the Marketplace as a third-party integration with Wialon. Listing is at our sole discretion and may be refused, modified or withdrawn at any time.

Submissions for listing must be made by, or with the documented authority of, the Developer of the Solution.

The Developer is responsible for the accuracy, completeness and lawfulness of any information, descriptions, screenshots, links and trademarks that it submits for listing, and grants us a non-exclusive, royalty-free, worldwide licence to use them for the purpose of operating the Marketplace and promoting the Solution.

Listing in the Marketplace does not mean that we have tested, reviewed, certified, recommended or endorsed the Solution. The Developer must not state or imply otherwise.

The Developer must keep the listing accurate and up to date and must promptly notify us of material changes, including changes to ownership, contact details or the operation of the Solution.

The Developer must promptly inform us if the Solution stops being compatible with Wialon, is discontinued, or is affected by a material security incident affecting Wialon or its customers.
- Branding

The Developer may use the word mark “Wialon” solely in factual statements such as “integrates with Wialon” or “compatible with Wialon”, and only in connection with a Solution that genuinely interoperates with Wialon. Any other use of our trademarks, logos or trade names requires our prior written consent and shall comply with our trademark usage guidelines which are available at https://legal.gurtam.com/wialon/api/brand-guidelines.
- Personal Data

Each party will comply with applicable data protection laws in connection with the Solution.

Where the Solution processes personal data of our customers or their end users, the Developer acts as an independent controller or, where applicable, as a processor or sub-processor of the relevant Wialon customer. The Developer is responsible for putting in place any data processing agreement, transfer mechanism or other arrangement required by law directly with that customer. We are not a party to that arrangement unless we expressly agree otherwise in writing.
- Intellectual Property

As between the parties, we retain all rights, title and interest in and to Wialon, the API and the API documentation. The Developer retains all rights, title and interest in and to the Solution, excluding any of our materials incorporated in or linked to it and any Wialon Contribution or Joint Work.

No licence is granted by implication, estoppel or otherwise, except as expressly stated in these Terms.

We may from time to time, at our discretion, contribute to the development of the Solution by providing materials, software, code, technical specifications, designs, advice, services or other assistance (each, a “Wialon Contribution”). Unless we expressly agree otherwise in writing:

we own all intellectual property rights in each Wialon Contribution and in any work developed jointly by the parties for the purposes of, or in connection with, the Solution (each, a “Joint Work”). To the extent any such rights vest in the Developer by operation of law, the Developer assigns them to us on creation and, at our reasonable request and without any additional cost to us, will execute any further document and do any further act reasonably necessary to perfect that assignment;

we grant the Developer a non-exclusive, royalty-free, non-transferable, non-sublicensable licence to use each Wialon Contribution and each Joint Work solely as incorporated in, and as reasonably necessary for the operation of, the Solution, for as long as these Terms are in force;

each party’s pre-existing intellectual property, and any intellectual property independently created by it outside of a Wialon Contribution or a Joint Work, remains that party’s property; and

the existence of a Wialon Contribution or a Joint Work does not transfer to us any responsibility for the Solution under section 3 or otherwise, and we give no warranty in respect of any Wialon Contribution or Joint Work.
- Disclaimers

The API, the API documentation, any test account and the Marketplace are provided “as is” and “as available”, without any warranty or representation, whether express, implied or statutory, including any warranty of availability, reliability, accuracy, fitness for a particular purpose, non-infringement or that operation will be uninterrupted or error-free, to the maximum extent permitted by applicable law.

We may modify, suspend or discontinue the API, the Marketplace or any of their features at any time. We will use reasonable efforts to communicate material changes through the API documentation, the Marketplace or the Website.
- Liability and Indemnity

To the maximum extent permitted by applicable law, we will not be liable to the Developer for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue, data, goodwill, reputation or business opportunity, arising out of or in connection with these Terms, the API, the Marketplace or the Solution.

To the maximum extent permitted by applicable law, our aggregate liability under or in connection with these Terms will not exceed EUR 100.

The Developer will indemnify, defend and hold us, our affiliates and their personnel harmless against any third-party claim, loss, damage, liability, fine, penalty, cost or expense (including reasonable legal fees) arising out of or in connection with: (a) the Solution; (b) the Developer’s breach of these Terms or of any applicable law; (c) any infringement of a third party’s intellectual property, privacy or other rights; or (d) any contract or relationship between the Developer and an end user of the Solution.
- Term, Suspension and Termination

These Terms apply for as long as the Developer accesses the API, operates the Solution or the Solution is listed in the Marketplace.

We may suspend or terminate the Developer’s access to the API, any test account and any Marketplace listing at any time, with or without notice, including if we reasonably believe that the Developer is in breach of these Terms or that the Solution creates a risk to Wialon, our customers or any third party.

On termination, the Developer must immediately cease all use of the API and remove all references to Wialon from the Solution and related materials. Sections 3, 4.3, 6, 7 (other than clause 7.3.2), 8, 9, 10.3 and 11 survive termination.
- General

Changes. We may amend these Terms at any time by posting an updated version on the Marketplace. Continued access to the API or maintenance of a Marketplace listing after the effective date of the change constitutes acceptance of the updated Terms.

No partnership. These Terms do not create any partnership, joint venture, agency, employment or franchise relationship. Neither party may bind the other.

Assignment. The Developer may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.

Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

Governing law and jurisdiction. These Terms are governed by the laws of Lithuania, excluding its conflict of laws rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Vilnius, Lithuania have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

Entire agreement. These Terms, together with the API documentation referenced in them, constitute the entire agreement between the parties in relation to the subject matter and supersede any prior understanding.
